Acceptance of these Terms

These Terms of Use (“Terms”) govern your access to and use of the website at fashionmyway.com (the “Site”), operated by Fashion Myway, Inc. (“Fashion Myway,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

Who may use the Site

The Site is intended for businesses and the professionals who represent them. By using the Site, you confirm that you are at least 18 years old and that, if you are acting on behalf of a company or other organization, you have the authority to bind that organization to these Terms.

The Site and the private beta

The Site provides information about Fashion Myway and our demand intelligence platform, and allows eligible brands to apply to our private beta program. Submitting an application does not guarantee acceptance. We may accept, decline, waitlist, or discontinue the beta at our sole discretion, and we may change or remove any part of the Site at any time. If you are granted access to the platform or any beta, that access may be subject to additional or separate terms presented to you at that time

Information you submit

You agree that any information you submit through the Site (including your application details and message) is accurate and that you have the right to provide it. You may not impersonate any person or organization, or submit another party’s information without authorization.

Acceptable use

When using the Site, you agree not to:

• Violate any applicable law or regulation, or infringe the rights of others;
• Upload or transmit malware, or attempt to gain unauthorized access to the Site or related systems;
• Scrape, harvest, or collect data from the Site by automated means without our consent;
• Interfere with or disrupt the integrity or performance of the Site;
• Submit spam, or use the Site’s forms for any purpose other than a genuine inquiry or application;
• Reverse engineer or attempt to derive the source code of any part of the Site, except as permitted by
  law;
• Use the Site to develop or support a competing product or service

Intellectual property

The Site and all of its content — including text, design, graphics, logos, and trademarks such as the “Fashion Myway” name and marks — are owned by Fashion Myway or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for its intended purpose. No other rights are granted, and all rights not expressly granted are reserved

Your submissions

For any content you submit through the Site, you grant Fashion Myway a non-exclusive, worldwide, royalty-free license to use, store, and process that content for the purpose of evaluating your application, responding to you, and operating and improving our business. You represent that you have all rights necessary to grant this license. Except as described in our Privacy Policy or any separate written agreement, we are not obligated to treat submissions as confidential.

The Site may contain links to third-party websites or services that we do not own or control. We are not responsible for their content, policies, or practices, and we encourage you to review their terms and privacy policies.

Disclaimers

The Site is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Site will be uninterrupted, secure, or error-free. Any statements about future features or the platform are forward-looking and are not commitments or guarantees.

Limitation of liability

To the maximum extent permitted by law, Fashion Myway and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or relating to your use of the Site, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Site will not exceed one hundred U.S. dollars (USD 100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Fashion Myway and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Site or your violation of these Terms or applicable law.

Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction and venue of the state and federal courts located in New York, New York.

General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fashion Myway regarding the Site. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any agency, partnership, or joint venture between you and Fashion Myway. Section headings are for convenience only.
